1. OUR SERVICES

This Terms of Service (the "Terms") governs your rights and responsibilities related to YouApp's services including all of our websites, domains, apps, products, services, features and marketing campaigns (the "Services"). This document may be updated at any time without notice.

When you register and verify your account to use our Services, you become a "User." If you have chosen not to verify your user account, you may still be able to access certain aspects of or made available by our Services as a "Visitor."

By accessing or using our Services, whether as a User or Visitor, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms as a legally binding contract with YouApp (even if you are using the Services on behalf of a company or any other forms of organisation), so please take a moment to read these legally binding Terms.

YouApp operates as a marketplace platform connecting users who want to discover and book local experiences ("Participants") with certified local experts who offer activities ("Hosts"). YouApp facilitates bookings, payments, and communications but does not itself provide, operate, or control the activities offered by Hosts.

The collection of your personal information is described in our Privacy Policy.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

2. MODIFICATIONS OF THESE TERMS OF SERVICE

YouApp may change these Terms from time to time, on a prospective basis, and modify, add or discontinue any aspect, content or feature of the services, at its sole discretion. Your continued use or accessing of the services following the posting of any changes to the Terms constitutes your acceptance of such changes.

3. JOINING YOUAPP

3.1 Eligibility

You may use our Services only if you agree with our terms of service, privacy policy and applicable host or participant terms; and you are compliant with these Terms and all applicable laws. You must be at least 18 years old to use our Services.

3.2 Becoming a User

When you register and verify your identity to become a User, you must provide us with accurate and complete information. We reserve the right to reject and terminate any registrations submitted with false or inaccurate registration information, or otherwise submitted in violation of these Terms.

3.3 Account Types and Access

Users may create accounts as Participants (to book activities) or Hosts (to offer activities). You are responsible for maintaining the security of your Account login information and you must keep such login information confidential. You are responsible for all activity that takes place under your Account. You should notify us immediately if you suspect or become aware of any unauthorized use of or access to your Account.

4. MARKETPLACE PLATFORM

4.1 Platform Role

YouApp operates solely as a technology platform that connects Participants with Hosts. YouApp does not provide, operate, or control the activities, experiences, or services offered by Hosts. Hosts are independent service providers responsible for their own activities.

4.2 No Endorsement

While we vet and verify Hosts through our screening process, YouApp makes no representations or warranties regarding the quality, safety, suitability, or legality of any Host's activities. Listings on YouApp do not constitute an endorsement or recommendation.

4.3 Host-Participant Relationship

The contractual relationship for any activity is directly between the Host and the Participant. YouApp is not a party to this relationship and has no liability for the actions, omissions, or conduct of Hosts or Participants.

5. BOOKINGS AND PAYMENTS

5.1 Booking Process

When you book an activity through YouApp, you are entering into a contract with the Host. By completing a booking, you agree to pay the total amount shown, including the activity price, service fees, and any applicable taxes.

5.2 Payment Processing

YouApp uses third-party payment processors to handle all transactions. Payments are processed securely, and your payment information is subject to our Privacy Policy and the policies of our payment processors.

5.3 Cancellations and Refunds

Cancellation and refund policies are set by individual Hosts and displayed on each activity listing. YouApp may facilitate refunds in accordance with the Host's stated policy but is not responsible for issuing refunds except as required by law.

6. USER CODE OF CONDUCT

6.1 Community Guidelines

All Users must comply with our Community Guidelines. We may limit the distribution of or remove Content that we determine violates the Community Guidelines. We reserve the right to suspend, delete, or deactivate your Account if you violate our Community Guidelines or these Terms.

6.2 Prohibited Conduct

You agree that you will not:

• Gain or attempt to gain unauthorized access to any part of the Services
• Interfere with, disrupt, or damage our Services
• Use the Services for any unlawful purpose
• Harass, threaten, or harm other Users
• Post false, misleading, or fraudulent content
• Scrape or copy content from the Services without permission
• Use the Services to offer or solicit dating, companionship, or sexual services

7. CONTENT AND INTELLECTUAL PROPERTY

7.1 Your Content

You retain ownership of content you post on YouApp ("User Content"). By posting User Content, you grant YouApp a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Services.

7.2 YouApp's Intellectual Property

The Services, including all content, features, and functionality, are owned by YouApp and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our express permission.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 Service "As Is"

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOUAPP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Services
• Any conduct or content of any Host or Participant
• Any activity or experience booked through the Services
• Unauthorized access to or alteration of your data

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless YouApp and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your participation in or hosting of any activity

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Singapore, except that either party may seek injunctive relief in court to prevent infringement of intellectual property rights.

11. TERMINATION

YouApp may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
