Merchant Partnership Terms

By partnering with YouApp as a merchant, you agree to be bound by the Terms of Service and these Merchant Partnership Terms, all of which will be elaborated in detail below.

Merchant Services: Culinary experiences, dining reservations, cooking classes, food tours, and other F&B-related activities offered by restaurants, cafes, and food establishments through YouApp.

Merchant Partnership Terms: These terms govern your partnership with YouApp as a food & beverage business, restaurant, cafe, or culinary establishment, and your obligations when offering dining experiences and culinary activities through our platform.

Please read the following terms carefully before partnering with YouApp. If you have any questions, please contact us. Continued use of our platform constitutes acceptance of these terms.

1. ACCEPTANCE OF TERMS

By registering as a merchant partner with YouApp, you ("Merchant," "Partner," "Business," or "you") confirm that you have read, understood, and agree to be bound by these Merchant Partnership Terms.

These Terms constitute a binding legal agreement between your food & beverage business and YouApp Pte. Ltd. ("YouApp," "we," or "us") governing your use of our marketplace platform and services.

Merchant Eligibility: To partner with YouApp, you must operate a legitimate food & beverage establishment (restaurant, cafe, bar, food venue, or culinary business) with all necessary licenses, permits, and insurance required by local authorities.

2. DEFINITIONS

In these Merchant Partnership Terms, the following definitions apply:

  • "Platform" means the YouApp mobile application and website operated by YouApp for connecting merchants with customers;
  • "Merchant Account" means your registered business account with YouApp, including payment and settlement details;
  • "Merchant Offerings" means dining experiences, reservations, cooking classes, food tours, tasting menus, and other culinary activities offered by your establishment through YouApp;
  • "Customer" means any individual who books or purchases your Merchant Offerings through the Platform;
  • "Transaction" means any booking, reservation, or purchase made by a Customer for your Merchant Offerings;
  • "Services" means the marketplace platform, payment processing, marketing tools, and all other services provided by YouApp to merchant partners.

These Terms are supplemental to YouApp's general Terms of Service and Community Guidelines. In case of conflict, these Merchant Partnership Terms shall prevail for merchant-related matters.

3. YOUAPP AS MARKETPLACE PLATFORM

YouApp operates as a marketplace platform connecting F&B businesses with customers seeking authentic culinary experiences. YouApp:

  • Acts solely as a marketplace facilitator and payment intermediary;
  • Does not operate, control, or provide the Merchant Offerings;
  • Makes no representations or warranties regarding the quality, safety, or legality of Merchant Offerings;
  • Does not guarantee customer attendance or transaction completion;
  • Is not responsible for food safety, hygiene, or compliance with health regulations at merchant establishments.

Merchant Responsibility: You are solely responsible for all aspects of your Merchant Offerings, including food quality, safety, hygiene, customer service, compliance with health codes, and fulfillment of reservations and bookings.

Any disputes arising from Merchant Offerings are between you and the Customer. YouApp may facilitate refund requests on a case-by-case basis, but final resolution is your responsibility as the merchant.

4. PAYMENT PROCESSING AND SETTLEMENT

4.1 Payment Gateway

YouApp's payment gateway facilitates customer payments to merchants. Payment settlements are transferred to your Merchant Account according to the agreed schedule (daily, weekly, bi-weekly, or monthly) after deduction of:

  • YouApp platform commission fees
  • Payment processing fees
  • Applicable taxes, VAT, or GST
  • Any chargebacks or refunds

Commission Structure: YouApp charges a commission on each completed Transaction. The commission rate will be specified in your merchant partnership agreement and may vary based on transaction volume, partnership tier, and promotional periods.

4.2 Payment Reversals and Chargebacks

Receipt of payment does not guarantee cleared funds. You remain liable for the full transaction amount if payment is reversed due to:

  • Customer chargeback or dispute
  • Fraudulent transaction
  • Insufficient funds
  • Violation of payment card network rules

YouApp may debit your Merchant Account for reversal amounts and associated fees. You must immediately repay any outstanding reversal amounts that cannot be recovered from your account balance.

4.3 Fraud Prevention

While YouApp implements security measures, you acknowledge fraud risk exists. You are responsible for:

  • Verifying customer identity and booking authenticity
  • Detecting suspicious transactions
  • Losses from fraudulent transactions (unless caused by YouApp's willful misconduct)
  • Maintaining secure access to your Merchant Account

5. MERCHANT OBLIGATIONS

5.1 Licensing and Compliance

You must maintain all licenses, permits, and certifications required to operate your F&B business, including but not limited to:

  • Food service or restaurant operating license
  • Health and safety certifications
  • Alcohol license (if serving alcoholic beverages)
  • Business registration and tax identification
  • Food handler certifications for staff
  • Liability insurance coverage

5.2 Food Safety and Quality

You are solely responsible for:

  • Food safety, hygiene, and sanitation standards
  • Compliance with local health codes and regulations
  • Proper food storage, handling, and preparation
  • Allergen information and dietary restriction accommodation
  • Quality and freshness of ingredients
  • Accurate menu descriptions and pricing

5.3 Accurate Listings

Your Merchant Offerings must include accurate information about:

  • Menu items, ingredients, and portion sizes
  • Pricing (no hidden fees or surcharges)
  • Operating hours and availability
  • Location and venue details
  • Dietary options (vegetarian, vegan, gluten-free, etc.)
  • Cancellation and refund policies
  • Any restrictions or requirements

5.4 Reservation Fulfillment

You agree to:

  • Honor all confirmed reservations and bookings
  • Maintain accurate availability calendars
  • Provide services as described in your listings
  • Accommodate customers professionally and courteously
  • Notify YouApp and customers promptly of any cancellations or changes
  • Retain booking records for at least 2 years

5.5 Prohibited Activities

Merchants must not:

  • Serve alcohol to minors or intoxicated individuals
  • Offer illegal substances or unapproved food items
  • Discriminate against customers based on protected characteristics
  • Charge additional fees beyond advertised prices
  • Solicit customers to book directly outside the Platform to avoid fees
  • Provide false or misleading information
  • Engage in fraudulent transactions

5.6 Customer Service

You must:

  • Respond to customer inquiries within 24 hours
  • Resolve customer complaints professionally
  • Maintain high service standards
  • Encourage satisfied customers to leave reviews
  • Address negative feedback constructively

6. ACCOUNT SUSPENSION AND TERMINATION

YouApp reserves the right to suspend or terminate your Merchant Account if:

  • You violate these Terms or YouApp's policies
  • You engage in fraudulent or suspicious activity
  • Your business loses required licenses or permits
  • You receive excessive customer complaints or negative reviews
  • You fail to fulfill reservations or provide services as advertised
  • You violate health, safety, or food quality standards
  • Your business enters bankruptcy, liquidation, or receivership
  • Necessary to protect platform security or customer safety

We will provide notice when practicable, but may suspend immediately in cases of serious violations or safety concerns.

7. LIABILITY AND INDEMNIFICATION

You agree to indemnify and hold harmless YouApp from all claims, losses, damages, and expenses (including legal fees) arising from:

  • Food poisoning, allergic reactions, or health issues caused by your food or beverages
  • Injuries occurring at your establishment
  • Breach of these Merchant Partnership Terms
  • Violation of laws, regulations, or third-party rights
  • Negligence or misconduct by you or your staff
  • Unauthorized use of your Merchant Account
  • Chargebacks, refunds, or payment disputes

Insurance Requirement: You must maintain adequate liability insurance covering your F&B operations and provide proof upon request.

8. TAXES

You are solely responsible for all tax obligations related to your Merchant Offerings, including:

  • Corporate income tax
  • Sales tax, VAT, or GST
  • Service charges and gratuities
  • Business taxes and fees
  • Payroll taxes for your employees

YouApp does not provide tax advice. Consult with a tax professional regarding your obligations.

9. PERMITTED MERCHANT OFFERINGS

Examples of culinary experiences and F&B services that merchants may offer through YouApp:

  • Restaurant dining experiences and tasting menus
  • Cooking classes and culinary workshops
  • Food tours and culinary walking tours
  • Wine, beer, or cocktail tasting experiences
  • Chef's table and private dining events
  • Baking and pastry classes
  • Coffee or tea appreciation sessions
  • Farm-to-table dining experiences
  • Cultural food experiences and traditional cuisine
  • Specialty dining (vegan, organic, fusion, etc.)

10. MARKETING AND BRANDING

By partnering with YouApp, you grant us permission to:

  • Display your business name, logo, and photos on our Platform
  • Feature your establishment in marketing materials and campaigns
  • Share customer reviews and ratings
  • Promote your Merchant Offerings through our channels

You retain ownership of your intellectual property but grant YouApp a non-exclusive license to use it for platform operations and marketing purposes.

11. MODIFICATIONS TO TERMS

YouApp reserves the right to modify these Merchant Partnership Terms at any time. We will notify you of significant changes via email or Platform notification. Continued use of our services after changes constitutes acceptance of the modified Terms.

12. GOVERNING LAW

These Merchant Partnership Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes shall be resolved through binding arbitration in Singapore.
