By agreeing to these terms of service, you agree to be bound by the Host Terms and Conditions, Referral Terms and Conditions, Wallet and Scan to Pay Terms, Payments and Payouts Policy, and Community Guidelines.
1. OUR SERVICES
This Terms of Service (the "Terms") governs your rights and responsibilities related to YouApp's services including all of our websites, domains, apps, products, services, features and marketing campaigns (the "Services"). This document may be updated at any time without notice.
The Services are provided by YouApp Pte. Ltd. ("YouApp", "we" or "us"), a company incorporated in Singapore. YouApp Pte. Ltd. has subsidiaries and affiliates around the world to which it has granted permission to use and operate the YouApp app and services, and those subsidiaries and affiliates may provide parts of the Services to you.
YouApp is verified-only. When you register and pass identity verification, you become a "User." If you do not have a verified account, you may only browse the Services as a "Visitor." Visitors cannot pay, top up, receive funds, chat, add contacts, book, host or post.
By accessing or using our Services, whether as a User or Visitor, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms as a legally binding contract with YouApp (even if you are using the Services on behalf of a company or any other forms of organisation), so please take a moment to read these legally binding Terms.
YouApp is a Malaysia-first app for travellers and locals. It lets Users pay any DuitNow QR in ringgit using a non-custodial stablecoin wallet, and discover and book local activities. Users who book activities are "Participants." Verified locals who offer activities are "Hosts." YouApp facilitates bookings and communications but does not itself provide, operate, or control the activities offered by Hosts.
In these Terms:
- "Wallet" means the non-custodial wallet each User receives, which is powered by a third-party wallet provider. YouApp does not hold or control the funds in it.
- "MYRT" means the Malaysia Ringgit Stablecoin, the unit in which your Wallet balance is shown.
- "Wallet Terms" means our Wallet and Scan to Pay Terms, which govern the Wallet, top-ups, scan to pay, cashback and transfers between Users.
- "Booking Payment" means a payment for an activity or Host booking, which YouApp holds until the session is completed and verified, as described in the Payments and Payouts Policy.
The collection of your personal information is described in our Privacy Policy.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.
2. MODIFICATIONS OF THESE TERMS OF SERVICE
YouApp may change these Terms from time to time, on a prospective basis, and modify, add or discontinue any aspect, content or feature of the services, at its sole discretion. Your continued use or accessing of the services following the posting of any changes to the Terms constitutes your acceptance of such changes.
3. JOINING YOUAPP
3.1 Eligibility
You may use our Services only if you agree with our terms of service, privacy policy and applicable host or participant terms; and you are compliant with these Terms and all applicable laws. You must be at least 18 years old to use our Services, and you must pass identity verification to use any feature other than browsing.
3.2 Becoming a User
Every User must verify their identity. Verification uses your MyKad, passport or Singpass, together with a selfie and liveness check. You must complete verification before you can pay, top up, receive funds, chat, add contacts, book, host or post.
You must provide us with accurate and complete information. You may hold only one account, and only in your own name. We may ask you to verify again at any time. We reserve the right to reject and terminate any registrations submitted with false or inaccurate registration information, or otherwise submitted in violation of these Terms. We and our partners also carry out sanctions and anti-money laundering screening.
3.3 Account Types and Access
Users may create accounts as Participants (to book activities) or Hosts (to offer activities). You are responsible for maintaining the security of your Account login information and you must keep such login information confidential. You are responsible for all activity that takes place under your Account. You should notify us immediately if you suspect or become aware of any unauthorized use of or access to your Account.
You control access to your Wallet. YouApp cannot restore access to your Wallet or reverse blockchain transfers for you. See the Wallet Terms for details.
4. MARKETPLACE PLATFORM
4.1 Platform Role
YouApp operates solely as a technology platform that connects Participants with Hosts. YouApp does not provide, operate, or control the activities, experiences, or services offered by Hosts. Hosts are independent service providers responsible for their own activities.
4.2 No Endorsement
All Users, including Hosts, must pass identity verification, and Hosts go through additional screening. Verification confirms a person's identity only. It is not a guarantee of their conduct. YouApp makes no representations or warranties regarding the quality, safety, suitability, or legality of any Host's activities, or of any merchant's goods or services. Listings on YouApp do not constitute an endorsement or recommendation.
4.3 Host-Participant Relationship
The contractual relationship for any activity is directly between the Host and the Participant. YouApp is not a party to this relationship and has no liability for the actions, omissions, or conduct of Hosts or Participants.
5. BOOKINGS AND PAYMENTS
5.1 Booking Process
When you book an activity through YouApp, you are entering into a contract with the Host. By completing a booking, you agree to pay the total amount shown before you confirm.
5.2 Booking Payments
Bookings must be paid in the app using your Wallet balance (MYRT), DuitNow transfer, or debit or credit card. YouApp holds each Booking Payment until the session is completed and verified, and then releases it to the Host, less YouApp's host fee. Booking refunds and host payouts are made in ringgit (MYR). This is described in the Payments and Payouts Policy.
5.2A Wallet and Scan to Pay
The Wallet, top-ups, scan to pay, cashback and transfers between Users are governed by the Wallet Terms. Apart from Booking Payments, YouApp does not process, collect or hold your payments, and never holds or controls the funds in your Wallet. Payments, conversions and settlements are provided by licensed parties and third-party providers, whose own terms also apply. Your payment information is subject to our Privacy Policy.
5.3 Cancellations and Refunds
Cancellation and refund policies are set by individual Hosts and displayed on each activity listing, and are subject to our Cancellation, Rebooking and Refund Policy. Approved refunds are paid from the held Booking Payment. YouApp is not responsible for issuing refunds except as set out in that policy or as required by law. Refunds for scan to pay purchases are a matter between you and the merchant.
5.4 Activity and Venue Costs
Users are solely responsible for all expenses and costs incurred at the venue during the activity. This includes, but is not limited to, food and beverages (F&B), entry tickets, and any other personal or incidental purchases.
5.5 User No-Show Policy
If you fail to attend a scheduled meet-up, any fees or charges you have paid are non-refundable.
6\. USER CODE OF CONDUCT
6.1 Community Guidelines
All Users must comply with our Community Guidelines. We may limit the distribution of or remove Content that we determine violates the Community Guidelines. We reserve the right to suspend, delete, or deactivate your Account if you violate our Community Guidelines or these Terms.
6.2 Prohibited Conduct
You agree that you will not:
- Gain or attempt to gain unauthorized access to any part of the Services
- Interfere with, disrupt, or damage our Services
- Use the Services for any unlawful purpose
- Harass, threaten, or harm other Users
- Post false, misleading, or fraudulent content
- Scrape or copy content from the Services without permission
- Use the Services to offer or solicit dating, companionship, or sexual services
- Use the Services for fraud, money laundering, terrorism financing, or in breach of sanctions
- Use another person's identity, or open or use more than one account
- Abuse cashback, referral or promotional programmes
7. CONTENT AND INTELLECTUAL PROPERTY
7.1 Your Content
You retain ownership of content you post on YouApp ("User Content"). By posting User Content, you grant YouApp a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Services.
7.2 YouApp's Intellectual Property
The Services, including all content, features, and functionality, are owned by YouApp and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our express permission.
8. DISCLAIMERS AND LIMITATION OF LIABILITY
8.1 Service "As Is"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOUAPP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUAPP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Services
- Any conduct or content of any Host or Participant
- Any activity or experience booked through the Services
- Unauthorized access to or alteration of your data
- Any failure, delay or outage of third-party wallet, conversion, payment or blockchain services
- Loss of access to your Wallet, or transfers sent to the wrong address or network
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless YouApp and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your participation in or hosting of any activity
10. GOVERNING LAW AND DISPUTE RESOLUTION
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.
10.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Singapore, except that either party may seek injunctive relief in court to prevent infringement of intellectual property rights.
10.3 Meet-Up Disputes
Any dispute arising from a completed meet-up must be reported to YouApp support via WhatsApp or email within three (3) calendar days (including weekends and public holidays) of the meet-up's completion. If no dispute is reported within this three-day timeframe, the meet-up shall be conclusively deemed properly completed.
10.4 Dispute Resolution, Investigation, and Evidentiary Requirements
Upon the initiation of a formal dispute regarding a booking or service fulfillment, both the complaining party (the "Claimant") and the defending party (the "Respondent") (collectively, the "Disputing Parties") shall be notified by the Company. In the event of a failure to respond within the applicable evidentiary window, or upon its expiration, YouApp Pte. Ltd. reserves the absolute right to adjudicate and resolve the dispute in its sole and absolute discretion. The Company's decision shall be based strictly on the timely evidence provided and/or the Company's internal system data, platform logs, and electronic records, which shall be deemed final, binding, and conclusive.
10.5 Dispute Outcome Notifications
Upon the Compliance Team reaching a final decision regarding any platform dispute, YouApp Pte. Ltd. (“YouApp”) will notify the involved User or Host within one (1) business day. This notification will be delivered via the same communication channel used to initiate the dispute or report (including, but not limited to, Email, WhatsApp, or In-App Support Notifications). Users and Hosts are solely responsible for monitoring these channels for updates.
10.6 Mandatory 7-Day Verification Window
When a dispute is logged, the reporting or responding party is required to cooperate fully with YouApp’s internal verification inquiries. You must respond to all information requests within seven (7) calendar days from the date the inquiry was sent.
Consequences of Non-Responsiveness: Failure to respond within this 7-day window will result in the immediate rejection and permanent closure of the dispute. Cases closed due to non-responsiveness are entirely ineligible for reconsideration, escalation, or appeal.
10.7 Conditional Recourse and Appeal Path
If you cooperated fully within the initial 7-day window but your claim was ultimately rejected based on platform evidence, you may submit a formal appeal subject to the following strict parameters:
Timeline: Any appeal must be submitted within three (3) calendar days from the date the final rejection notice was issued. Late submissions will not be reviewed.
Strict Evidence Threshold: Appeals will only be entertained if accompanied by verified, high-strength documentary evidence proving a severe, unavoidable emergency. Acceptable documentation is strictly limited to official hospital admission or hospitalization records, or official police or accident reports. No other forms of proof, excuses, or mitigating circumstances will be considered. In the absence of such institutional proof, the original decision shall stand as absolute, final, and binding.
11. TERMINATION
YouApp may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
If you close or delete your account, or we terminate it for breach of these Terms, we will ask you to export your Wallet, and exporting your Wallet will be the only feature available to you. If an authority requires us to close or restrict your account, we will act as it directs, which may mean we cannot give you any access through YouApp, including to export your Wallet. See the Wallet and Scan to Pay Terms. Termination does not give YouApp ownership or control of the funds in your Wallet. Booking Payments held by YouApp at termination are dealt with under the Payments and Payouts Policy.
