End User License Agreement

PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY. This End User License Agreement ("EULA") governs your use of the application, software, their associated upgrades, and related services (the "Product") currently provided or which will be provided by YouApp Pte. Ltd., or any one of its subsidiaries or affiliated companies.

The Services are provided by YouApp Pte. Ltd. ("YouApp", "we" or "us"), a company incorporated in Singapore. YouApp Pte. Ltd. has subsidiaries and affiliates around the world to which it has granted permission to use and operate the YouApp app and services, and those subsidiaries and affiliates may provide parts of the Services to you.

This EULA sets out the basis on which YouApp makes the Products available to you ("User" or "You") and on which you may use them. YouApp's Privacy Policy, forms an integral part of this EULA. By installing, accessing and using the Product, you agree to accept and be bound by (1) this EULA and (2) the Privacy Policy at all times. If you do not agree with one of these, please do not install or use the Product.

If you have a YouApp Account, which can be found in our Terms of Service, this EULA shall coexist with and shall not supersede the Terms of Service. To the extent that the provisions of this Agreement conflict with the provisions of the Terms of Service, the conflicting provisions in the Terms of Service shall govern.

YouApp reserves the right to change, modify, add, or delete articles in this EULA at any time, in accordance with the procedures described below in Section 5.

1. License Grant

YouApp Pte. Ltd. hereby grants you a personal, non-transferable, non-exclusive license to use the YouApp service in accordance with the terms of this EULA agreement.

You are permitted to use the YouApp service on devices that are compatible with the Service. You are responsible for ensuring your device meets the minimum requirements of the YouApp service.

You are not permitted to:

Modify, adapt, or translate the Service, or create derivative works based upon the Service;
Reproduce, copy, distribute, resell, or otherwise use the Service for any commercial purpose without prior written consent from YouApp Pte. Ltd.;
Allow any third party to access the Service on behalf of or for the benefit of any third party;
Use the Service in any way that breaches any applicable local, national, or international law;
Use the Service for any purpose that YouApp Pte. Ltd. considers a breach of this EULA agreement;
Reverse engineer, decompile, or disassemble the Service;
Remove or alter any proprietary notices or labels on the Service.

2. Subscription Terms

Access to certain features and content of the YouApp service may require a subscription or payment for individual activities. By subscribing to the YouApp service or booking activities, you agree to pay the applicable fees as set forth by YouApp Pte. Ltd.

Subscription fees and activity prices are subject to change at any time, but such changes will not affect active subscriptions or completed bookings.

Payments in the Product, including top-ups, scan to pay and transfers, are provided by licensed parties and third-party providers, and are made from your non-custodial wallet. YouApp does not hold or control the funds in your wallet. These payments are governed by the Wallet and Scan to Pay Terms.

Payments for activities are held by YouApp until the session is completed and verified, as described in the Payments and Payouts Policy. The contractual relationship for the activity is between you and the Host.

You control access to your wallet. You are responsible for keeping your device and login secure. YouApp cannot restore access to your wallet or reverse blockchain transfers for you.

3. Intellectual Property and Ownership

YouApp Pte. Ltd. shall at all times retain ownership of the YouApp service and all intellectual property rights therein. The Service and its content, including any modifications, are and shall remain the property of YouApp Pte. Ltd.

All trademarks, service marks, logos, and trade names displayed in the Service are proprietary to YouApp or their respective owners. Nothing in this EULA grants you any right to use any trademark, service mark, logo, or trade name.

4. Termination

This EULA agreement is effective from the date you first use the YouApp service and shall continue until terminated. You may terminate it at any time by ceasing to use the Service and uninstalling the application from all your devices.

YouApp Pte. Ltd. reserves the right to terminate your access to the YouApp service without notice if you fail to comply with any term of this EULA agreement or our Terms of Service. Upon termination, you agree to stop all access and use of the Service and uninstall the application.

Termination of this EULA does not affect any bookings you have made prior to termination, which remain subject to the applicable cancellation policies.

5. Changes to This EULA or to The Product

YouApp reserves the right, at its sole and absolute discretion, to revise, update, change, modify, add to, supplement, or delete certain terms of this EULA for security, legal, best practice, or regulatory reasons. Such changes will be effective with or without prior notice to you.

You can review the most current version of this EULA by clicking on the "EULA" link located on the Product or on youapp.ai. You are responsible for checking this EULA periodically for changes.

If any future changes to this EULA are unacceptable to you or cause you to no longer agree or comply with this EULA, you may terminate this EULA in accordance with Section 4 and must immediately uninstall the Product and destroy all copies of the Product.

Your continued use of the Product following any revision to this EULA constitutes your complete and irrevocable acceptance of any and all such changes.

YouApp may modify the Product for any reason or without any specific reason, at any time, and at its entire discretion, particularly for technical reasons such as updates, maintenance operations, and/or resets to improve and/or optimize the Product. You agree that the Product may install or download the modifications automatically.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOUAPP SDN. BHD. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability and fitness for a particular purpose;
Warranties that the Service will be uninterrupted, error-free, or secure;
Warranties regarding the quality, safety, or suitability of activities offered by Hosts;
Warranties that defects will be corrected;
Warranties that third-party wallet, conversion, payment or blockchain services will be available or error-free.

You acknowledge that YouApp is a platform connecting users with hosts and does not provide, control, or guarantee the activities themselves.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUAPP SDN. BHD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

Any injury, loss, or damage occurring during or as a result of any activity;
Any conduct or content of any Host or other user;
Loss of data or business interruption;
Any unauthorized access to your account.

8. Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the law of the Republic of Singapore.
